1.General Disclaimer

The information, software, products, and services provided by VIRTUALLIFE TECHNOLOGIES INC. ("Company," "we," "us," or "our") through Trackloop (the "Service") are provided on an "AS IS" and "AS AVAILABLE" basis without any representations or warranties of any kind, either express or implied.

THE COMPANY EXPRESSLY DISCLAIMS ALL LIABILITY OF ANY KIND ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE. YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK.

2.No Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • •IMPLIED WARRANTIES OF MERCHANTABILITY
  • •FITNESS FOR A PARTICULAR PURPOSE
  • •NON-INFRINGEMENT OF INTELLECTUAL PROPERTY

3.Service Errors, Bugs, and Defects

The Service is complex software that may contain errors, bugs, defects, or other issues that could cause system failures, data corruption, or unexpected behavior. THE COMPANY SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES ARISING FROM:

  • •Software bugs, errors, or defects of any kind
  • •System crashes, failures, or unexpected shutdowns
  • •Incorrect processing of orders, data, or transactions
  • •Features not working as expected or documented
  • •Updates or changes that introduce new issues
  • •Incompatibility with your systems, browsers, or devices

You acknowledge that no software is perfect and agree to accept the Service with all its faults and imperfections.

4.Data Accuracy and Reliability

THE COMPANY MAKES NO GUARANTEES REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY DATA, INFORMATION, REPORTS, OR ANALYTICS PROVIDED THROUGH THE SERVICE.

All data displayed in the Service, including but not limited to order information, customer data, financial figures, inventory counts, production statuses, and analytics, may contain errors or inaccuracies. You are solely responsible for:

  • •Maintaining your own records and backups
  • •Cross-checking critical information with original sources

5.Business Decisions

THE SERVICE MAY PERFORM CALCULATIONS INCLUDING BUT NOT LIMITED TO PRICING, TAXES, TOTALS, ESTIMATES, QUOTES, AND FINANCIAL SUMMARIES. THE COMPANY MAKES NO WARRANTY THAT THESE CALCULATIONS ARE ACCURATE, COMPLETE, OR APPROPRIATE FOR YOUR SPECIFIC CIRCUMSTANCES.

  • •Tax Calculations: Tax rates and calculations may be incorrect. You are solely responsible for determining and collecting the correct taxes.
  • •Pricing & Estimates: Automatically generated prices and estimates may contain errors. Always verify before sending to customers.
  • •Financial Reports: Revenue, profit, and other financial data may be inaccurate. Do not rely on these for accounting or tax purposes.

You should always consult with qualified accountants, tax professionals, and financial advisors for important financial decisions.

7.Third-Party Integrations

The Service integrates with third-party services including but not limited to QuickBooks, Stripe, and other platforms. THE COMPANY IS NOT RESPONSIBLE FOR AND DISCLAIMS ALL LIABILITY RELATED TO:

  • •Data synchronization errors or failures between systems
  • •Incorrect data being sent to or received from third-party services
  • •Third-party service outages, errors, or failures
  • •Changes to third-party APIs that affect functionality
  • •Payment processing errors through Stripe
  • •QuickBooks invoice or accounting discrepancies
  • •Any actions or omissions by third-party service providers

8.Data Loss and Corruption

THE COMPANY SHALL NOT BE LIABLE FOR ANY LOSS, CORRUPTION, OR DESTRUCTION OF DATA, REGARDLESS OF THE CAUSE. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUPS OF YOUR DATA.

While we implement reasonable backup procedures, we do not guarantee that your data will be preserved, recoverable, or free from corruption. Data loss may occur due to:

  • •System failures, hardware malfunctions, or software bugs
  • •Cyberattacks, hacking, or security breaches
  • •Natural disasters or force majeure events
  • •Human error by our team or third-party providers
  • •Account termination or service discontinuation

9.Service Availability and Interruptions

THE COMPANY DOES NOT GUARANTEE THAT THE SERVICE WILL BE AVAILABLE AT ALL TIMES OR WITHOUT INTERRUPTION. The Service may be temporarily unavailable due to:

BY USING THE SERVICE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE IS AT YOUR SOLE RISK. YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH THE USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO THE RISK OF DATA LOSS, FINANCIAL LOSS, BUSINESS INTERRUPTION, AND ANY OTHER DAMAGES.

You acknowledge that:

  • •You have had the opportunity to seek independent legal and professional advice
  • •You accept full responsibility for any consequences arising from your use
  • •You waive any claims against the Company for damages arising from your use

11.Indemnification

You agree to indemnify, defend, and hold harmless VIRTUALLIFE TECHNOLOGIES INC., its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or relating to:

  • •Your use or misuse of the Service
  • •Your violation of this Disclaimer or any applicable terms
  • •Your violation of any rights of another party
  • •Any claim that your use of the Service caused damage to a third party
  • •Any business decisions you made based on Service data

12.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIRTUALLIFE TECHNOLOGIES INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

  • • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • • ANY LOSS OF PROFITS, REVENUE, OR BUSINESS
  • • ANY LOSS OF DATA OR DATA CORRUPTION
  • • ANY LOSS OF USE OR GOODWILL
  • • ANY BUSINESS INTERRUPTION
  • • ANY OTHER INTANGIBLE LOSSES

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, THE COMPANY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100 CAD).

13.Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for certain types of damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

This Disclaimer shall be governed by and construed in accordance with the laws of Canada and the Province of Ontario. Any disputes arising from this Disclaimer shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

If any provision of this Disclaimer is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
